Terms of Use

Thank you for choosing Nexa13 North America Inc. (“Nexa13,” “our,” “us,” or “we”). Your access, installation, and use of our websites (“Sites”), services, and software (together, the “Services”) is subject to these Terms of Use, our Privacy Policy, any End User License Agreement (“EULA”), and any other Nexa13 agreements that relate to the Services (collectively, the “Agreement”).

Agreement

You acknowledge that you have read, understand, and agree to be bound by this Agreement. Your access, installation, and/or use of the Services constitutes acceptance of this Agreement. Nexa13 reserves the right, in its sole discretion, to modify, amend, or supplement this Agreement at any time with or without notice. Continued use of the Services after any such changes constitutes acceptance of the updated Agreement. User

You represent and warrant that:

(a) if you are an individual, you are at least 18 years old and have the legal capacity to enter into and be bound by this Agreement; and

(b) if you are an entity, you are a corporation, limited liability company, partnership, or other legal entity in good standing with authority to enter into and be bound by this Agreement.

If you are a legal entity, you warrant that you have the authority to—and hereby do—bind your entity and all individuals employed or engaged by your entity who may use the Services.

Products and Ordering

1. Product Descriptions

Product descriptions are presented on the Sites and should be consulted before placing your order. Photographs and images have no contractual value.

2. No Offer

Any prices, quotations, or product descriptions on the Sites do not constitute an offer but an invitation for you to make an offer to purchase. We may withdraw or revise them at any time prior to express acceptance of your order.

3. Choice of Products

You are solely responsible for determining which products best meet your needs based on your equipment, configuration, and intended use. By placing an order, you accept the prices, quantities, and features of the products ordered.

4. Errors

We strive for accuracy but cannot guarantee all information is error-free. We may notify you of any error prior to shipment so you may confirm or cancel your order. If you confirm, you accept the corrected terms.

5. Availability

Product availability is not guaranteed. If we are unable to fulfill your order, we may reject it, propose alternatives, or attempt to source the product for up to thirty (30) days. If unsuccessful, we will cancel the order and refund any payment made.

6. Archives — Access

After acceptance of your order, Nexa13 may retain records of transactions for a reasonable and legally permitted period. You should keep copies of all related documents.

Price and Transactions

1. Prices

Prices exclude taxes, shipping, and freight charges. Applicable fees will appear as separate line items. Prices may change without notice; you will pay the price in effect at the time we accept your order.

2. Security

Credit card transactions on the Sites are encrypted using 256-bit SSL (Secure Socket Layer), one of the most reliable standards currently available.

Licensing, Copyright, and Trademark

1. Licensing Terms

When products include software (“Software”), it is licensed—not sold—by the applicable licensor and governed by the accompanying EULA. Delivery or download does not transfer ownership.

2. Copyright

All Site content—including text, graphics, logos, icons, images, audio, video, downloads, data compilations, and software—is the property of Nexa13 or its content suppliers and is protected by copyright laws.

3. Trademark

All copyrights, trademarks, and intellectual property associated with the Sites or Services—including documentation, marketing materials, manuals, packaging, and artwork—remain the exclusive property of Nexa13.

Physical Delivery

1. Address of Delivery

You must provide a valid delivery address. Additional costs resulting from address errors are your responsibility.

2. Delivery Time

Delivery times are estimates only. Nexa13 is not liable for delays. If delivery cannot be completed, we will refund your payment upon request.

3. Risk of Loss

Risk transfers to you upon delivery. Failure to accept delivery may result in additional charges, storage fees, or disposal of products after thirty (30) days.

Electronic Delivery

1. Download Procedure

After payment is processed, you will receive an email with a download link. Products are available for download for one month unless otherwise noted.

2. Backup Disc Option

You may have the option to purchase a Backup Disc containing the downloaded product.

3. Extended Download Period

Some products may offer an extended download period of up to two years.

Return of Products

Return policies are governed by the applicable product EULA. You are responsible for return costs unless the product is defective. Risk of loss transfers to Nexa13 only upon receipt.

Indemnification

Venue, Governing Law, Dispute Resolution, Arbitration, and Class Action Waiver

Any legal disputes related to this Agreement are governed by the applicable EULA.

Reservation of Rights

Nexa13 reserves all rights not expressly granted to you.

Survival

Provisions relating to warranties, liability, indemnification, governing law, dispute resolution, and reservations of rights survive termination.

Benefit of Provisions

All warranty disclaimers and liability limitations benefit Nexa13 and its affiliates, partners, licensors, vendors, and similar parties.
